The most expensive clause in SaaS

Auto-renewal is the single most expensive sentence in any SaaS contract. A vendor that auto-renews you for another 12 months because you missed a 60-day notice window has just collected $50,000 to $500,000 of revenue without selling you anything new. Worse, in many jurisdictions the clause is enforceable even if you didn't read it.

The FTC's 2024 click-to-cancel rule

The U.S. FTC's Negative Option Rule, finalized in 2024 and amended in 2025, requires that any subscription must be cancellable through the same channel it was activated — if you signed up online, you must be able to cancel online without a phone call. Many SaaS vendors are still non-compliant; that creates leverage.

The four-step escape plan

Step 1: locate the contract and the renewal date. Step 2: read the renewal-notice clause and calendar the deadline minus 7 days (buffer for in-house delays). Step 3: send written notice via the contractually specified method — email is not always acceptable; some contracts require certified mail. Step 4: get a written acknowledgement of receipt, ideally with the cancellation effective date stated.

When you've already missed the deadline

All is not lost. Three approaches: (a) Negotiate a downgrade to a smaller plan as a goodwill gesture — vendors often prefer keeping a partial renewal to losing the account at next renewal. (b) Invoke any SLA breach in the past 12 months as grounds for termination for cause. (c) Request a pro-rata refund citing the FTC click-to-cancel rule or your local equivalent (the UK's Digital Markets, Competition and Consumers Act 2024 has similar provisions).

Building an auto-renewal calendar

Every contract you sign should be entered into a single calendar with three triggers: (1) renewal-notice deadline minus 30 days for review, (2) renewal date minus 90 days for vendor evaluation, (3) actual renewal date. A spreadsheet works, but a procurement system is better. Most over-renewal losses happen at companies under 50 people with no procurement function.

Contract language to push for on new deals

On every new SaaS contract, push for: (1) opt-in renewal (you must affirmatively renew, the contract doesn't auto-extend), (2) renewal notice of 30 days maximum, (3) renewal at the same price (no automatic uplift), (4) right to terminate during the renewal term for convenience with 30 days' notice if you've discovered the product no longer fits. Most vendors will agree to two of those four if you ask.
